1. Acceptance of these terms

These Terms & Conditions (“Terms”) govern your access to and use of the CredentiaIQ platform, website and related services (together, the “Service”), provided by CredentiaIQ Pty Ltd (“CredentiaIQ”, “we”, “us” or “our”).

By creating an account, accessing or otherwise using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. About CredentiaIQ

CredentiaIQ is a training and credentialling platform for international education counsellors. It lets individuals complete training modules, sit assessments, and earn verified credentials, and lets institutions and government bodies publish training and track knowledge across their networks.

3. The Service

The Service provides, among other things:

• training modules and assessments from institutions and government bodies;
• the issue and display of credentials or badges; and
• analytics and reporting for participating institutions and government bodies.

We may change, suspend or discontinue any part of the Service at any time. We will use reasonable efforts to notify you of material changes.

4. Accounts and eligibility

You must be at least 18 years old, or have the consent of a parent or guardian, to use the Service. You agree to provide accurate and complete information when creating an account and to keep that information up to date.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly if you suspect any unauthorised use of your account.

5. Credentials and assessments

Credentials issued through the Service reflect the completion of training and assessments on the Service. They are a record of learning, not a qualification issued by an accrediting body, and do not constitute professional certification, a licence, or a guarantee of employment, registration, or any particular outcome.

We and the institutions or government bodies that publish training may apply rules to assessments and credentials, including expiry and re-assessment requirements. You must complete assessments honestly and in accordance with any instructions; we may withdraw credentials obtained in breach of these Terms.

6. Your responsibilities

You must not:

• use the Service for any unlawful purpose or in breach of any applicable law;
• impersonate another person or misrepresent your identity or affiliations;
• share your account credentials with others, or use another person’s account;
• attempt to gain unauthorised access to the Service, or interfere with its security or operation;
• copy, reproduce, reverse engineer or resell any part of the Service or its content; or
• upload or transmit any material that is unlawful, defamatory, obscene, or that infringes the rights of any third party.

7. Content and intellectual property

The Service and all content within it, including training materials, software, design, text, graphics and branding, are owned by or licensed to CredentiaIQ or the relevant third-party providers, and are protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your personal or internal business purposes. This licence does not permit you to copy, distribute, modify, or create derivative works from the Service or its content without our prior written consent.

Any content you submit remains yours, but you grant us a licence to use, store and display it as necessary to provide the Service to you and to others you choose to share it with.

8. Fees and membership

Certain features of the Service may require a paid membership or subscription. Any fees will be described to you before you incur them, and are payable in accordance with the terms shown at the time of purchase.

Unless otherwise stated, fees are in Australian dollars and include GST where applicable. We may change our fees from time to time by giving you reasonable notice.

9. Privacy

Our handling of your personal information is governed by our Privacy Policy, which forms part of these Terms. Please read it to understand how we collect, use and disclose personal information.

10. Consumer guarantees and disclaimers

Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law, or any other law that cannot lawfully be excluded or limited.

Subject to those non-excludable rights and to the maximum extent permitted by law, the Service is provided on an “as is” and “as available” basis, and we make no representations or warranties that the Service will be uninterrupted, error-free, secure, or that any particular result or outcome will be achieved.

11. Limitation of liability

To the maximum extent permitted by law (including the Australian Consumer Law), we will not be liable for any indirect, incidental, special or consequential loss or damage, loss of profits, revenue, data or goodwill, arising out of or in connection with your use of, or inability to use, the Service.

Where liability cannot be excluded but can be limited by law, our total aggregate liability to you is limited, at our option, to the re-supply of the Service or the payment of the cost of having the Service re-supplied.

12. Indemnity

To the extent permitted by law, you agree to indemnify CredentiaIQ and its officers, employees and agents against any loss, damage, liability, cost or expense arising from your breach of these Terms or your misuse of the Service.

13. Third-party services and links

The Service may contain links to third-party websites or content provided by institutions, government bodies and other providers. We do not control and are not responsible for third-party content or services, and your use of them is subject to their own terms.

14. Suspension and termination

We may suspend or terminate your access to the Service if you breach these Terms, or where we reasonably believe your continued access poses a risk to the Service or other users. You may stop using the Service at any time.

Termination does not affect any rights, obligations or liabilities accrued before termination, including any obligation to pay outstanding fees.

15. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the “last updated” date. Where changes are material, we will take reasonable steps to bring them to your attention. Your continued use of the Service after any change constitutes acceptance of the updated Terms.

16. Governing law

These Terms are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria, Australia.
